Martindale-Hubbell To Hold C2C Best Practice Forums In Chicago June 17: Effective Board Management & Managing Complex Transactions

On June 17, 2008, Martindale-Hubbell will hold concurrent Counsel to Counsel Best Practice Forums  entitled Guiding Good Governance: Practical Approaches for Effective Board Management and Managing Complex Transactions: Leveraging Best Practices. The sessions will be held at the Mid-America Club in Chicago at 2:00 p.m. Hosted by Dinsmore & Shohl LLP and Quarles & Brady LLP, discussion topics for the Guiding Good Governance session will include:
 
 
·    Increasing efficacy: effectively managing board communications, meetings and training, including handling privilege concerns
 
·    Relating to the board in today's economic environment
 
·    The expanding role of general counsel as trusted adviser, informed gatekeeper and advocate of good corporate governance
 
·    Identifying and mitigating risk and threats to reputation
 
·    Hot-button issues: audits, committees, transactions, investigations and disclosures
 
The Managing Complex Transactions session will be hosted by Duane Morris LLP, Jenner & Block LLP, and Squire Sanders & Dempsey LLP. Discussion topics will include:
 
·    Working with different players in the market: private equity, hedge funds, etc.
·    Dealing with the effects of recent market trends, globalization and the current regulatory environment on transactions
·    Effectively and efficiently managing the deal flow and the deal team, due diligence and post-deal integration
