Smith and Kenneth Regensburg to the Corporate & Securities Group, effective immediately. Mr. Smith was formerly a partner in the New York office of Patton Boggs; Mr. Regensburg was formerly counsel in the New York office of White & Case.

Mr. Smith advises domestic and foreign entities on U.S. securities and corporate law in connection with international financings, including Sharia-compliance matters; cross-border mergers and acquisitions; and un-registered fund formation. He regularly advises issuers and underwriters in both public and private equity and debt offerings, including high-yield debt, sovereign debt, structured products, Rule 144A and Regulation S offerings, and offerings under the Canada-U.S. Multijurisdictional Disclosure System. Mr. Smith regularly advises boards of directors and senior management on U.S. corporate government matters.
In addition to recently becoming involved with structuring and trading carbon credits and related instruments in the U.S., Mr. Smith has significant experience in the oil and gas, mining, financial services, bio-tech, and pharmaceutical industries. He has advised on international transactions in Canada and Western Europe, as well as the emerging markets of the Caribbean and Latin America, Central Asia, the Middle East, Sub-Saharan Africa, and Eastern Europe.
After earning his law degree at Queens University, Kingston, Ontario in 1990, Mr. Smith practiced law with leading international law firms in Toronto, New York, and London, including Patton Boggs LLP; Skadden, Arps, Slate, Meagher & Flom; and Clifford Chance. He is admitted to practice in New York, England and Wales, and Ontario, Canada.
Mr. Regensburg brings more than 13 years of M&A, public capital markets, private equity, and venture capital experience to Reed Smith. Prior to joining White & Case, he was with Morgan Lewis for eight years.
Mr. Regensburg’s practice focuses on domestic and cross-border mergers, acquisitions, divestitures and joint ventures, including both public and private transactions of varying sizes and structures. Mr. Regensburg represents private equity funds, institutional investors and strategic acquirers in leveraged acquisitions, strategic equity and corporate partnering investments, recapitalizations and restructurings across varied sectors, such as energy, healthcare, real estate, business services and telecommunications, among others. He represents acquirers and target companies in going private transactions, advises special committees in their analysis and negotiation of such transactions and regularly counsels financial advisors in connection with their delivery of fairness opinions.
A 1996 graduate of Cornell Law School, Mr. Regensburg has experience representing issuers and investors in public and private offerings of securities. He also counsels public companies on corporate governance issues and U.S. securities law reporting requirements, and advises non-U.S. clients regarding the application of the U.S. securities laws to cross-border tender offers.
