Jeffrey M. Taylor is a Partner in the Philadelphia office of Blank Rome LLP, a full-service, multi-disciplinary national law firm and one of Americas fastest-growing firms. He practices in the firms Public Companies and Capital Formation practice group, where he focuses his practice on representing public and private companies in securities law, mergers and acquisitions, and corporate law matters. Mr. Taylor works with clients in areas such as: public offerings and private placements of securities; SEC reporting and public disclosures; executive compensation; corporate governance and Sarbanes-Oxley Act compliance; complex corporate transactions, including mergers, stock acquisitions, asset sales, tender offers, reorganizations, and recapitalizations; insider trading and ownership reporting issues; and general corporate law. Mr. Taylor has published numerous articles and participated in many presentations and panel discussions on a variety of securities law, corporate law, and corporate governance issues and topics related to public and private entities, including executive compensation, option practices, current SEC topics and the Sarbanes-Oxley Act. Mr. Taylor has also drafted and proposed corporate law reform legislation that was ultimately enacted into law. Mr. Taylor is a member of the Title 15/Business Organizations Committee of the Pennsylvania Bar Association, which is tasked with drafting legislation to propose changes to Pennsylvanias business entity laws. Mr. Taylor also serves on the Advisory Committee of the Mid-Atlantic Chapter of the Society of Corporate Secretaries & Governance Professionals. Mr. Taylor received his B.A. degree in 1992 from Northwestern University and his law degree in 1995, with honors, from the University of Florida College of Law.
