Buffett (&amp;ldquo;Buffett&amp;rdquo;), Berkshire CEO, used his position of influence to profit for himself at the expense of Berkshire.&amp;rdquo;&lt;span style="mso-spacerun:yes;"&gt;&amp;nbsp; &lt;/span&gt;It is further alleged that Sokol directly benefited from his position with Berkshire by convincing Buffett to&lt;span style="mso-spacerun:yes;"&gt;&amp;nbsp; &lt;/span&gt;purchase&lt;span style="mso-spacerun:yes;"&gt;&amp;nbsp; &lt;/span&gt;the Lubrizol Corporation, after Sokol purchased a significant number of shares in Lubrizol.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

The Plaintiffs indicate in their Action that &amp;ldquo;Once the prodigal daughter is back into the News Corp fold, she will vie with her brothers, Board members James Murdoch and Lachlan Murdoch, for the position of successor to Rupert Murdoch&amp;rsquo;s global media dynasty. In short, Murdoch is causing News Corp to pay $675 million for nepotism.&amp;rdquo;&lt;/p&gt;

Chandler III had to make a determination as to the validity of an amendment to Arigas&amp;#39; bylaws.&amp;nbsp; In this case of first impression, he had to determine whether the term &amp;ldquo;annual&amp;rdquo; meeting means &amp;ldquo;separated by approximately twelve months&amp;rdquo; or &amp;ldquo;occurring once a year.&amp;rdquo;&amp;nbsp; This Opinion was filed on Oct 8, 2010, File &amp;amp; Serve Transaction ID 33727021, in Case No. 5817-CC.&lt;/p&gt;
&lt;p&gt;The overall effect of the Chancery Court&amp;rsquo;s decision, that annual meetings do not have to be spaced by eleven or twelve months, meant that there could be an annual meeting only four months after Airgas&amp;rsquo;s last meeting, shortening the terms of certain directors.&lt;/p&gt;
&lt;p&gt;The Chancellor&amp;rsquo;s decision, that the bylaw provision was valid under Delaware law; was properly adopted; and, the bylaw did not conflict with Airgas&amp;rsquo;s charter, was immediately appealed by Airgas, and an expedited appeal was granted by the Delaware Supreme Court.&amp;nbsp; The Notice of Appeal can be found at Airgas, Inc. v.
