Colleen Laduzinski Named Jones Day Partner
Washington, DC - The global law firm Jones Day announced that Colleen E. Laduzinski has been named to the Firm's partnership, effective January 1, 2010.
Colleen Laduszinski practices in the area of federal income tax, including bankruptcy tax, general corporate tax, taxation of consolidated groups of corporations, reorganizations, mergers and acquisitions, distressed transactions, financings, and securities offerings. She also has experience in federal tax controversy matters.
Colleen has extensive experience in providing tax advice to debtors in bankruptcy proceedings, including Burlington Industries, Chrysler, Dana Corporation, FLYi/Independence Air, HQ Global, Interep National Radio Sales, Kaiser Aluminum, Levitz Home Furnishings, NationsRent, WHX Corporation, and Williams Communications. She also has advised creditors and lenders regarding their claims in other chapter 11 cases.
Colleen advises clients on the tax aspects and structuring of mergers and acquisitions, some of which have included Chrysler's section 363 sale of substantially all of its assets to Fiat-led New Chrysler, International Steel Group's acquisition of the Bethlehem Steel business out of chapter 11, Wasserstein Family Trusts' acquisition of New York Magazine from Primedia, Kaiser Aluminum Australia's sale of Queensland Alumina Limited interest to RUSAL Group, Kaiser Aluminum Jamaica's sales of Alpart interest to Glencore and KJBC interest to Century/Noranda, and Burlington Industries' bankruptcy buyout by WL Ross & Co. In addition, she advises lenders, underwriters, and borrowers in financing and securities transactions, including Chrysler, CIT Corporation, Citigroup, Commonwealth Bank of Australia, Dana Corporation, El Paso Corporation, Jefferies, Kaiser Aluminum, and National City Bank.
Colleen is the coordinating editor of and a major contributor to Jones Day's bankruptcy tax portfolio, published as Jenks, Ridgway, and Purnell, "Corporate Bankruptcy," Tax Mgmt. (BNA) No. 790, and the project manager of and a substantive contributor to Jones Day's white papers, "American Recovery and Reinvestment Tax Act of 2009 — Description of Key Business Provisions" and "American Jobs Creation Act of 2004 — Description of Key Business Provisions," available on Jones Day's web site. In addition, Colleen regularly presents on corporate tax and bankruptcy tax topics, including cancellation of debt issues.
