franchise agreement for the purposes of the Franchising Code of Conduct. A franchise agreement gives a franchisee the right to operate a franchised business.
The precedent franchise agreement is to be executed as a
deed by the franchisor, the franchisor's directors or "principals" (if the franchisor is a company) and the franchisee.
The precedent includes
clauses relating to:
· the grant of a right to operate the franchised business;
· terms and conditions of the granted rights;
· compliance with the Franchising Code of Conduct;
· enforcement against the franchisor and, if the franchisor is a company, the franchisor's directors; and
· the parties' other responsibilities under the franchise agreement.
This precedent franchise agreement is
suitable for use where:
· a franchisor has developed certain business procedures, systems, and a distinctive and valuable name, image and reputation;
· these require franchisees to differentiate themselves from suppliers of similar goods or services; and
· a person (ie the franchisee) wishes to carry on a business using the franchisor's procedures, systems, etc.
