    Unlike a standard S or C corporation, B corporations exist to codify explicit commitments to social responsibility (while still being a for-profit entity). Jack B. Siegel analyzes and compares the state statutes currently in place, which nominally create a new corporate form but do little more than merely adding a new layer to a corporation's existing structure. This may best be viewed as an exercise in branding rather than corporate law.

     

    Jack B. Siegel is a consultant who provides services to nonprofits through Charity Governance Consulting LLC. Mr. Siegel focuses on board training and governance, financial issues, and special investigations. He currently is preparing a number of webinars on nonprofit governance.

     

    Mr. Siegel received a Bachelor of Business Administration and a Juris Doctorate from the University of Wisconsin. He also received an LLM(Tax) from New York University and a Masters of Management from Northwestern University's Kellogg Graduate School of Business.

     

    Mr. Siegel began his legal career with Foley & Lardner, where he was member of the firm's Tax Department and became a partner. He also served as assistant general counsel to the National Equity Fund, a nonprofit syndicator of low-housing tax credit projects. Mr. Siegel also developed computer-based training software for lawyers, accountants, real estate professionals, nonprofit officers and directors, and students.

     

    Mr. Siegel is the author of A DESKTOP GUIDE FOR NONPROFIT DIRECTORS, OFFICERS, AND ADVISORS: AVOIDING TROUBLE WHILE DOING GOOD (Wiley 2006), a 744-page book addressing the legal, financial, tax, regulatory, and governance issues facing nonprofit boards and senior officers. He also has authored a number of articles on tax and financial accounting issues, including articles addressing endowment accounting, Fin 48 as applied to nonprofits, the commensurate-in-scope doctrine, and political activity by tax-exempt organizations.

     

    Mr. Siegel served as a member of President Clinton's transition team in 1992, with the Treasury Tax Policy Cluster. He has served as an instructor in the Public Finance Ministry of Taiwan Academy of International Taxation, presenting a course on the U.S. taxation of financial assets. He has taught as an adjunct professor of law for IIT-Chicago Kent's College of Law LLM Tax Program and as a member of Spertus College's Master of Science in Nonprofit Management faculty. In June of 2011, he completed a three-year term on the IRS Advisory Committee of Tax Exempt and Governmental Entities (the "ACT").

     

    Mr. Siegel speaks extensively on tax, nonprofit governance, and legal matters. He has spoken at conferences sponsored by the Direct Marketing Association, ALI-ABA, the Association of the Fundraising Professionals, the American Bar Association Section of Taxation, Georgetown Law School, the National Association of Attorneys General, BoardSource, the National Association of Charity Officials, the Urban Institute, Columbia School of Law, Harvard University's Hauser Center, CAPLAW, ARNOVA, and the University of Texas. Mr. Siegel served as an adjunct professor at Queensland University of Technology in Brisbane, Australia in July 2010, lecturing on nonprofit financial governance. He also has lectured to government regulators and charity officials in Singapore on governance best practices.
