This book brings to life the world of transactional lawyers as they work within the framework of this significant body of doctrine. Unlike the file of a litigator, which revolves around a single dispute or set of disputes, the casefile of a transactional lawyer begins with the initial client meeting and grows as the client brings specific matters to the lawyer's attention from time to time. This text focuses on the secured transactions practices of two lawyers, the lawyer who represents B&B Boxes and the lawyer who represents Commercey Bank. The lawyers become involved when B&B Boxes borrows money from Commercey Bank and secures the repayment of the loan by granting security interests in its personal property.
Throughout this book, students will work with borrower's and lender's lawyers' casefiles that include loan documents, research materials, and legal memoranda. These casefiles are realistic, except that in the "real world" each lawyer's casefile would almost duplicate the other's.
This book emphasizes the practice of preventative law, i.e., planning how to avoid disputes and litigation. A good business lawyer must have an understanding of how business works. Therefore, materials are provided to help the student develop some sense of the business issues involved in personal property secured lending in the form of memos to the files. For many students, this book offers the first opportunity to practice lawyering skills. Therefore, brief discussions of appropriate skills are included in the borrower's lawyer's casefile in the form of a letter from a more experienced attorney.
