    Biography:

    My background is in UK corporate tax, but I particularly specialise in the following areas;

    EIS and Venture Capital tax schemes

    Advising companies on using the Enterprise Investment Scheme (EIS) to raise equity, including advice on structuring, HMRC Advance Assurance applications and compliance issues. I also advise on Venture Capital Trusts and Seed EIS (SEIS).

    Creative Industries Tax credits

    I advise on tax credits claimed by Film Production companies, and similar production companies claiming credits for high-end television, animation, and children's programmes as well as for video game development.

    Public Private Partnerships

    I advise on direct tax issues to public sector bodies and private sector bidders for PPP projects and similar projects, including in respect of the Private Finance Initiative (PFI).

    Paul Randall is a Senior Counsel at, and a former Partner in Hogan Lovells where he headed the London Executive Compensation and Share Incentives practice. He has 35 years’ experience of advising on the legal, tax and regulatory aspects of equity and cash-based incentive plans and employee trusts. He frequently advises in the context of corporate transactions including many IPOs, takeovers and capital raisings. He is a member of the Executive Committee of Share Plan Lawyers and the co-chair of the Share Plan Lawyers’ Corporate and Regulatory Committee.

Her tax expertise covers both the national and local taxes, including individual and corporate income taxes, business and transfer taxes, tax audit, and tax compliance.

    Moreover, Deborah is the Tax and Compliance Manager at Reed Elsevier Philippines, where she manages the company’s overall compliance requirements emanating from various regulatory agencies in the Philippines. She is also a part-time instructor at her alma mater where she teaches accounting, finance, and tax subjects. Deborah is a contributing co-editor to the Philippine country guide of Tolley’s Global Mobility/Employment Taxes.

    After being called to the Bar of England and Wales (Lincoln’s Inn, 2011), Jivaan began his career in the Tax and Legal Services team of a Big4 accounting firm in the Caribbean, where he managed the tax and commercial disputes portfolio.

    He retrained and qualified as a solicitor into the corporate tax team of Linklaters LLP (London). His tax practice primarily entails advising on potentially contentious legal issues (tax and commercial) in the context of cross-border M&A, corporate reorganisations and finance transactions, as well as assisting clients in resolving tax disputes with tax authorities, including representation before the relevant tribunals and courts.

    Jivaan regularly advises clients in a range of sectors, spanning private equity and financial sponsors, financial institutions, fintech, consumer goods, energy and sports. Jivaan has a fervent interest in legislative policy development in developing countries, especially as it relates to international taxation and commercial law.

    Current and past projects in this respect include:

    (i) advising the Caribbean Community (CARICOM) on the drafting of three model Bills relating to company, insolvency and partnership laws;

    (ii) advising a state on its tax reforms to comply with OECD requirements to facilitate removal from the grey list; and

    (iii) developing and delivery tax training to the tax authority of a state’s tax authority on international tax law issues, including double tax treaties and transfer pricing. Jivaan is a member of Linklaters’ Latin America Group and is Head of the Linklaters Caribbean Desk. Outside of practice, Jivaan is a visiting lecturer at King’s College London on the International Tax Law LLM, where he lectures on the International Tax Law and the EU Tax Law modules and supervises dissertations related to these topics.

    Malcolm Gunn is a fellow of the Chartered Institute of Taxation and has over 50 years of experience in advising on all aspects of UK tax, although he has a particular interest in capital taxes. For 16 years, he was an editor of the weekly magazine Taxation. In 2004, he left the magazine to concentrate on consultancy and advisory work.

    Malcolm Gunn continues to contribute frequently to technical publications on UK tax, including a chapter each year in Tolley's Tax Planning on Relevant Property Trusts. He is the current author of Tolley's Inheritance Tax and joint author with Julie Butler of Stanley's UK Taxation of Farmers & Landowners. He is also general editor of Foster's Inheritance Tax, and a consultant with Butler and Co chartered accountants.

    Malcolm Gunn was awarded the Lifetime Achievement award in the LexisNexis 2004 Tax Awards and is a member of the Worshipful Company of Tax Advisers.

    Kiran specialises in executive remuneration and incentives matters.

    Kiran advises on the establishment and operation of a wide range of cash and share-based incentive arrangements for both listed and private clients in the UK and globally.  She also works with clients on the remuneration aspects of executive recruitments and terminations and advises on corporate governance issues and compliance.

    In addition, Kiran advises clients on the incentive plan aspects of transactions, including takeovers, IPOs, schemes of arrangement, rights issues, demergers and schemes of arrangement.

    Kiran is a member of the Share Plan Lawyers group and of ProShare focus groups.  She is also a contributor to Revenue Law – Principles and Practice on the taxation of share plans.

    Rob - CTA (Fellow) - is a cross-tax advisor with a particular focus on property tax planning, and business structure planning for OMB’s. He provides tax advice to other accounting firms, balancing commerciality, ethics, and understanding complexity.

    His 32+ years of experience start at the Inland Revenue in Hull. After completing his ATT and CTA with PKF, he subsequently worked at KPMG and UHY prior to managing the business tax team as a director at Garbutt + Elliott. Rob is now Tax Director at the independent tax consultancy, Crane Dale Tax.

    He is a regular author for Tolley publications, including Taxation magazine, and Tolley annuals covering Capital Allowances, Property Tax, Tax Planning , and Taxwise annuals. He is also consultant editor of the online Tolley Guidance OMB module. He contributes as a virtual member to the CIOT Property Tax and OMB technical committees.

    Marco Herrmann graduated as a Certified Tax Advisor (Steuerberater) in 2002 and then specialised in VAT consulting.
