The draft aims to strengthen compliance and transparency by imposing direct penalties on companies that neglect timely filing. The fines vary according to company type, capital, and management structure:
All company forms (except non‑listed joint stock companies):
Capital ≤ 500,000 SAR:
One manager: 8,000 SAR
Two or more managers: 4,000 SAR
Capital > 500,000 SAR:
One manager: 12,000 SAR
Two or more managers: 6,000 SAR
Non‑listed joint stock companies:
Capital ≤ 5 million SAR: 15,000 SAR
Capital > 5 million SAR: 20,000 SAR
Small and micro companies (per Article 7 of the Companies Law executive regulations):
One manager or board chair: 4,000 SAR
Two or more managers: 2,000 SAR
For the 2024 fiscal year, violations will trigger a warning. If a company fails to file for two consecutive fiscal years, and the first year’s violation decision becomes final, the fine for the second year will increase by 50%.
