By Eric Geringswald | CSC
New Amendments Target Digital Assets, Corporate Tax, and Business Protections
The 2025 edition of CSC’s Louisiana Laws Governing Business Entities Annotated is now available. Published in collaboration with legal publisher LexisNexis®, this comprehensive yet portable deskbook compiles the latest Louisiana statutes and regulations, helping practitioners conduct legal research, complete transactions, and advise clients with confidence.
In 2025, Louisiana lawmakers enacted or amended more than 120 laws affecting business entities. Notable updates include:
- A new chapter in the Uniform Commercial Code (UCC) regulating controllable electronic records—such as cryptocurrencies and non-fungible tokens (NFTs)—used in commercial transactions
- A new section limiting corporate veil-piercing in liability disputes
- A reduced corporate income tax rate
The latest edition reflects updates through Act 120 of the 2025 legislative session. The Table of Sections Affected highlights changes in statute, while the Legislative Analysis provides insight into their legal impact.
