Florida Approves Protected Series LLCs in Major Overhaul of Business Entity Laws

Florida’s General Assembly added or amended more than 150 sections of the state’s business entity laws during the 2025 legislative session. Among the most notable updates was the introduction of protected series LLCs.

What the New Law Does

The new entity type allows a single parent LLC to create multiple protected series, each with its own assets, managers, and liabilities. This structure provides horizontal liability protection, meaning one series is not liable for the obligations of another. The law takes effect July 1, 2026.

Additional Legislative Updates

Other approved changes include new requirements for registered agents and a new Uniform Commercial Code (UCC) chapter regulating controllable electronic records such as cryptocurrency and NFTs.

New Case Law and Annotations

The 2025 edition also features more than 30 new case notes summarizing recent judicial interpretations of Florida business law from state and federal courts. It includes five new full-text cases addressing service of process upon a corporation, arbitration, forum selection clauses, fictitious names, and stock in professional corporations.

A Table of New Annotations lists all new case notes, and new annotations are marked with a gray bar in the body of the book for quick identification.

Other features include an updated Fee Schedule for Florida business filings and online access to nearly 70 Florida forms covering incorporation, qualification, mergers, dissolution, and name reservation. Forms and contact information for Florida’s Division of Corporations are listed in the book’s appendix.
