Texas Legislators Seek to Attract Businesses with Corporate-friendly Laws

Overview of Legislative Changes

For years, the state of Texas has been building a system of laws aimed at making Texas the domicile of choice for businesses. The session of the Texas Legislature that ended on June 2, 2025, produced amendments to the Texas Business Organizations Code that continue this tradition. Most of the changes became effective on or before September 1, 2025.

The changes are captured in the 2025 Edition of Texas Laws Governing Business Entities Annotated, CSC’s comprehensive collection of Texas business organization statutes and case law. This edition is current through the 2025 Texas legislative session, with more than two dozen newly enacted or amended sections. The Table of Sections Affected lists the changes.

A summary of legislative activity prepared by distinguished Texas attorney Byron Egan of Jackson Walker L.L.P. provides an overview of new and amended business entity law, including new provisions regarding fiduciary duties, ratification of void or voidable acts, limitations on director liability, and shareholder proposals and approvals.

Mr. Egan, the author of EGAN ON ENTITIES: Partnerships and Limited Liability Companies in Texas has also contributed Special Commentary covering Texas’ new system of specialty trial courts created to hear significant business-related disputes and a special intermediate court of appeals to hear appeals from Business Courts.

More than 140 new case notes have been added since the last edition, as well as seven full-text Texas cases of interest covering recent legal developments regarding dual representation in derivative claims, bankruptcy, tortious acts by corporate officers or agents, self-interested transactions, redemption price, nonprofit corporations, and removal of actions to the Texas Business Courts. The Table of New Annotations lists new case notes, and gray bars in the body of the book make it easy to locate new notes.

The book includes online access to more than 70 recently updated business entity forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all Texas entity types via the LexisNexis Bookstore download center. A listing of forms and contact information for Texas’s Division of Revenue, Business Services, can be found in the book’s appendix. There is also an up-to-date Texas Fee Schedule showing required fees for business filings with the Secretary of State.
