Board Resolutions: Unregistered Offering of Common Stock
One of the most common methods for companies to raise capital outside the registration process is to conduct an offering relying on rule 506 of Regulation D. These board minutes reflect the private placement memorandum, all of the transaction documents, registration rights, the offering, exchange listing, and more. Use this template when you are drafting board resolutions for a client’s private offering of common stock.
