Take One Down: Memorandum to the Board of Directors and/or Senior Management on Delisting and Deregistration under the Exchange Act
A company may choose to delist and deregister its securities if it no longer meets the registration requirements under the Securities Act. Use this template to draft a memorandum to the directors and officers of a domestic public company advising them on what it means to voluntarily delist and deregister the company’s securities, how to do so, and what happens to the company’s reporting obligations in that context.
