Gary Gensler Gets Aggressive: Highlights From a Busy Year at The SEC

Administration change often brings a flurry of rulemaking across the federal regulatory system, and with President Biden’s appointment of Gary Gensler to take the wheel at the Securities and Exchange Commission, most industry observers expected a regulatory sea change in securities law. That did not happen immediately, as the SEC largely avoided major regulatory activity in 2021. But in 2022, the shoe has dropped in the form of myriad noteworthy rule proposals.

While practitioners will note the significance of the SEC’s new requirements regarding cybersecurity disclosures, abrupt reversal of President Trump-era proxy oversight rules, and proposed amendments targeting ‘greenwashing’ by allegedly sustainability-focused investment funds, two major initiatives have headlined the 2022 season to date.

First, on March 21, 2022, the SEC issued its long-awaited rule proposal that would impose new climate-related disclosure requirements on public companies, requiring them to disclose greenhouse gas emissions and the business risks related to severe weather events and the transition to a smaller carbon footprint.

Just over a week later, on March 30, 2022, the SEC released proposed rules intended to enhance investor protections in initial public offerings by special purpose acquisition companies and in subsequent business combination transactions between SPACs and private operating companies. With 613 SPAC registrations comprising 63% of all U.S. IPOs in 2021, the SEC’s oft-stated concerns regarding potential abuse of this trending deal structure crystalized in an aggressive set of specialized disclosure requirements that quickly put a damper on an overheated SPAC market.

This year has already been an active one for energy professionals—we’ve seen record-breaking figures in offshore wind auctions, a controversial new pipeline rule from the Federal Energy Regulatory Commission (FERC), unprecedented sanctions due to the invasion of Ukraine and the SEC finally released their long-awaited proposal for climate-related disclosures.

Renewables are Moving Full Steam Ahead
One of President Biden’s key initiatives is to address climate change, which he plans to do by increasing the use of renewable energy in the United States. Under his plan, the Department of the Interior and the Bureau of Ocean Energy Management (BOEM) have been actively identifying areas for offshore wind production. Earlier this year, the New York Bight area saw auction prices soar, grossing over $4 billion. In addition, auction dates have been set for an area in the Carolinas and additional areas are being reviewed in the Gulf of Mexico and on the West Coast. With a lofty goal of deploying at least 30 gigawatts of offshore wind by 2030, offshore wind will continue to lead the way in renewables.

Uncertainty Looms Large in the Traditional Sectors
Several federal actions to start 2022 have put stress on the traditional energy sector and professionals who support them. In February, FERC voted to revise the agency’s approval polices to include deeper review of proposed gas projects’ impacts on climate change and other environmental impacts, a change that will likely impact approvals. FERC recently put a pause on the new policy’s implementation to allow for additional public comment after receiving a slew of concerns from the energy sector.

The Russian invasion of Ukraine has also brought some uncertainty to the industry. Although it is early, there are likely to be impacts on the U.S. energy industry due to the sweeping sanctions put on Russia by the U.S. and European Union. The Department of the Interior has already signaled to the industry that they should be increasing production; whether this is a long-term or short-term measure, only time will tell.

With these and other actions by the SEC and other federal agencies, it is more important than ever to stay abreast of the latest changes in the industry with accurate and reliable news coverage.

General Enhancements/Changes

Download Newsletter Usage Data in Usage Stats
Now, when downloading a Newsletter Report, the report will include a new tab which documents the newsletter name, owner, publication status, recipients, content count and content (i.e., feed or folder names and charts).

Delete RSS Feeds
Users and admins can now delete RSS feeds they have added but no longer need or find useful.

Apply a Global Date Filter
Now, when viewing an analysis, you can apply a date range filter that applies to all charts in the analysis. This option is available from the Actions menu, located above the charts in the analysis.

Changes to Clippings Shortcut
When viewing the Shared Content folder, you can still create a clippings feed directly from folders.

When viewing search results, you now have the option to toggle between Full View (which includes headlines, extracts and key metadata) and Title View (which shows only the article headline but allows you to view more articles on the page).

Improvements to Editing Newsletters

When previewing a newsletter (on the Edit & Send Now page), you can use up or down arrows to change where an article appears in the newsletter. This option is available for newsletters with the “modern” theme applied.
When selecting content to include in a newsletter, you can now select a folder from the Saved Content panel, which will add all the content from that folder to the newsletter.
When sending an email, the Reply To field on the Edit & Send Now page has been changed to a toggle and added to the To field. If you want to edit this field, click the toggle to show it.

Sharing Analyses
You can now share an analysis with your colleagues directly from the Saved Analyses table. Sharing options are found on the Actions menu. Previously, you shared analyses from the older version of the Saved Content panel.

Updates to the Saved Content Panel
More actions have been added to the new Saved Content Panel, including:
The Saved Content panel now includes descriptive text for each content type when no content has been added.

A Favorites option has been added too, so you can save your most frequently used feeds for quick access.

Add article:
You can still add an article to a search using the Saved Content list—just as you could with the previous version of this list.

Download Search Criteria:
Similarly, you can still download the search criteria/terms from either all searches within My Content or Shared Content or all searches within individual folders on the folder level. From the Shared Content (or My Content) level, click the ellipses (three dots).

From the folder level, open the folder and click the ellipses (three dots).

Add Groups:
Admin users can now add and manage groups of users from the Saved Content panel. Doing this lets you share feeds with a specific set of users rather than always sharing feeds with everyone on your account using the Shared Content folder.

Manage Groups:
From the Saved Content panel, you can now add users to your groups either individually or based on their role.

Improvements to INSIGHTS (Results Screen)

Improvements to the downloaded Insights PDF have been made and we’ve added a new geo-map view.

PDF download: the search name and date range for the Insights report have been added to the downloaded PDF.

Geo Map: we are now including a map which shows the specific region where your results are found. For example, a search that only finds articles from the UK will show a map of Europe and the UK:

Now when viewing Top Stories on the Insights tab, when you click the link to view similar articles, the articles will appear in a panel that slides out from the right side of the Nexis Newsdesk window.

Throughout 2021, many commentators forecast that U.S. antitrust law could be nearing a watershed moment, propelled by a perfect storm of converging forces and events that may suggest the possibility of significant changes to antitrust law and practice ahead. As antitrust practitioners continue to monitor the course of these developments to determine which, if any, will make landfall in 2022, firms are shoring up capacity to counsel clients through heightened antitrust risk and uncertainty. In response to the surge of incoming antitrust matters, as of November 2021, the firms of The Am Law 200® had made a total of 117 antitrust lateral hires, 45% more than the previous four-year average for the same period.

Practitioners anticipate that heavy workloads and demands on their time will continue as new attorneys ramp up, that thorny substantive issues will arise, and that staying informed of new developments will be mission-critical in 2022. A look back at 2021: A few factors that shaped the antitrust landscape
Among many key developments last year that placed antitrust in a lingering spotlight, President Biden signaled his administration’s commitment to more aggressive antitrust policy and enforcement by appointing several well-known, reform-minded thought leaders to key posts—and by issuing a remarkably sweeping executive order to promote competition in the American economy. The executive order outlined specific directives and requests for action to multiple federal agencies, including the Federal Trade Commission (FTC) and Antitrust Division of the Department of Justice (DOJ), involving more than 70 initiatives targeting problematic areas, notably in certain industries and labor markets, as well as in and mergers and acquisitions (M&A).

Meanwhile on the Hill, House and Senate lawmakers introduced dozens of antitrust-related bills in 2021, with a number of those proposals advancing and gaining traction. More legislative efforts undoubtedly will follow this year.

At the FTC, under the leadership of its newly appointed progressive Chair Lina Khan, the agency implemented a series of controversial and uncertainty-inspiring changes, including rescinding key guidance, upending several established merger policies and procedures, and asserting its intention to explore expanded use of its broader enforcement powers and rulemaking authority in competition.

In the courts, a spate of high-profile enforcement actions brought by the DOJ and FTC involve novel issues, and active cases against so-called dominant technology companies could break new and landmark legal ground when ultimately decided.

While all this was happening, 2021 also proved to be a record-breaking year in global M&A deal value and volume. U.S. antitrust agencies saw a record-breaking total number of premerger (HSR) filings that placed stress on agency staff and on antitrust attorneys. As of this writing, despite some headwinds, there is no obvious indication of a decline in the appetite for M&A or a reversal of these trends.

Introducing Judicial Brief Analysis

Judicial Brief Analysis in the Lexis+® ecosystem is an AI-powered research tool that enables a court researcher or litigator to validate research on both sides of a case from the judicial perspective. It includes full Shepard’s® analysis, checks quotes for accuracy and provides additional recommended cases, secondary sources and sample briefs similar to your brief.

To get to Judicial Brief Analysis, go to the Brief Analysis home screen and select the option to review multiple documents. This will take you to the Judicial Brief Analysis home screen. Users can upload up to three documents on each side of a matter (plaintiff or defendant) for a total of six documents, to get to the new Judicial Brief Analysis dashboard view and a full analysis.

Also new: Brief Analysis Quotation Analysis
The Quotation Analysis feature has been added to single-brief Brief Analysis and Judicial Brief Analysis. This functionality offers the same quotation evaluation available in Lexis® for Microsoft® Office, providing validation of quotation text and pin cites in an easy-to-use display. The unique “shared” view of quotations found in both plaintiff’s and defendant’s documents provides a quick way for users to compare how quotes have been used by different parties.

And, Brief Analysis now includes treatises and Practical Guidance recommendations, in addition to cases, related to key passages in your brief or document.

New Content:

Burton’s Legal Thesaurus releases: This one-of-a-kind publication distills complex legal terms into plain language. It has been around for 40 years and offers 14,000 synonyms, legal phrases, and associated concepts, ideal for any legal professional. Check it out here.
New indices: The Corbin on Contracts – Index and the Banking Law – Index are now available
Singapore Statutes are now available on Lexis and Lexis+. Find this source in the International tab under Singapore, select Statutes and Legislation.

Enhanced features and functionality:

Segments now available in the Search Within Results feature: Precision searching and refinement just got better. Segments by content type have always been viewable in the Lexis+ Advanced Search templates. Now you can refine search results by viewing segments via the Search Within Results feature. Users can include and exclude certain terms in their search, as well as focus within a specific document segment.

New secondary source recommendations related to a specific headnote: Expand your research with relevant secondary sources related to a headnote of interest when viewing a case on Lexis or Lexis+. The recommended secondary sources come from a list of 170 well-respected titles.* The recommendation will show below the headnote.

*Access to secondary sources is dependent on your LexisNexis® subscription.

Lexis+ real-time archives for statutes: The statutory archival system in the Lexis+ service provides real-time archives when a new law becomes effective and when a law is amended. Now when using the Code Compare feature, you can compare current effective versions to recent archives.

Enhancements smartindexing behind Negative News filters: Negative News search results available via the Lexis+ and Lexis® services now have more nuanced filtering options for uncovering Negative Personal News and Negative Business News. Listed below are the expanded pre- and post-search filter types.*

New filter for selecting “Motion Type” in Lexis+ research:
Find relevant documents faster with the Motion Type post-search filter when researching in the Briefs, Pleadings and Motions content type on the Lexis+ service. Users can narrow results to a specific motion type or a combination from a list of 24 possible motion types.

Other recent updates:

Lexis+ folder enhancement now includes full-text “Search within”: Users now have the ability to quickly find documents saved to folders by searching for key words or phrases contained within the full-text of documents stored in folders, along with the document title, notes and annotations.
Search fields added to specific arbitration sources: Users searching in AAA Employment Arbitration Awards, AAA Labor Arbitration Awards, Labor & Employment Arbitration Awards, Combined and Labor Arbitration Decisions – Archived can fine tune their results using specialized arbitration filters that only appear when researching in these sources.
Criminal and Civil filters now available in case law results: Use these filters to refine your case law results to criminal or civil cases.
Clause Specific Filters Added to Practical Guidance: This feature helps users find the “right” clauses for their agreements, faster and more efficiently. After a user runs a search in practical guidance, they can select the Clause content type filter. Then, additional filters will appear on the left side of the screen that provides the user with the ability to browse at a more granular level. The clause filters include:
- Clause Type: What type of clause is it (Indemnity, Covenant, etc.)
- Document Type: To get more on point language, users can narrow by document type (Stock Purchase Agreement)
- Point of View Type: Language more favorable toward one party (pro-seller, pro-lender, etc.)
- Consideration Type: Type of consideration for the transaction (stock, cash, debt)
- Loan Type: Type of loan for the transaction (term loan, letter of credit)
- Property Type: Type of property that is the subject of the transaction (commercial, residential, multifamily)
