Modernized Regulation A creates two tiers of offerings: Tier 1, for offerings up to $20 million (including no more than $6 million on behalf of selling security holders) in a 12–month period; and Tier 2, for offerings currently up to $75 million (including no more than $22.5 million on behalf of selling security holders) in a 12–month period. Issuers that wish to engage in a Regulation A offering use Form 1-A. Use this checklist when drafting an offering statement on Form 1-A.
