New York lawmakers approved amendments that will allow New York business entities to receive service of process through electronic means starting January 1, 2023. According to the new legislation, New York corporations, associations, limited liability companies, and partnerships can make the affirmative choice to receive service of process via email. Until an entity makes the choice, it will continue to receive service of process via mail. There will be no additional costs for the different methods.

The Fall 2021 edition contains the latest legislative changes through Chapter 416 of the 2021 Session, with more than 70 added or amended sections, including the new provisions for electronic service of process. The Table of Sections Affected provides an overview of legislative changes, and Blackline Amendment notes following each amended section indicate exactly what text was added and deleted.
The Fall 2021 edition includes more than 80 new case notes from New York state and federal courts interpreting the law since the Spring edition. Also included are five new full-text cases covering recent legal developments regarding formation of a partnership, breach of fiduciary duty, alter ego liability, piercing the corporate veil, and dissolution. New case notes are captured in the Table of New Annotations, and gray bars indicate where new cases have been inserted in the body of the book.
