Florida Laws Governing Business Entities Annotated

Florida’s General Assembly added or amended more than 40 sections of the state’s business entity laws, including new and revised provisions for securities issuances and transactions. The changes are captured in the 2023 Edition of CSC’s Florida Laws Governing Business Entities Annotated.

Changes to the law are listed in the book’s Table of Sections Affected and a legislative summary provides an overview of statutory additions and amendments.

The 2023 edition also includes more than 80 new case notes summarizing recent judicial interpretations of the law from Florida state and federal courts, as well as five new full-text cases exploring recent legal developments regarding long-arm jurisdiction, corporate officer liability, the business judgment rule, derivative suits, and dissolution of a partnership. A Table of New Annotations lists all new case notes, and new annotations are marked with a gray bar in the body of the book for quick identification.

Other features include an up-to-date Fee Schedule for Florida business filings and online access to nearly 70 Florida forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types via the LexisNexis® Store download center. A listing of forms and contact information for Florida’s Division of Corporations can be found in the book’s appendix.

The 2023 Edition of Florida Laws Governing Business Entities Annotated is available as a softbound book or eBook, compatible with dedicated eReader devices, computers, tablets and smartphones that use eReader software or applications. It’s also available on the LexisNexis® Digital Library.
