Five full-text cases covering recent legal developments—ranging from LLC ownership and foreign corporations to taxation of pass-through entities, successor liability, and the formation of unintentional partnerships—are now included in the 2025 edition of Virginia Laws Governing Business Entities Annotated, published by CSC.
These new cases, along with more than a dozen additional case notes added since the 2024 edition, offer essential insights into how Virginia courts are interpreting the state’s business entity laws. For quick reference, the Table of New Annotations lists all new case notes, which are also flagged with gray bars throughout the text.
The 2025 edition includes the full text of key Virginia statutes affecting business entities:
It also features selected titles from the Uniform Commercial Code and relevant taxation sections, all updated with the latest legislative changes from the 2025 Virginia General Assembly session.
The publication includes an up-to-date Fee Schedule outlining business filing fees and offers online access to 100 Virginia business forms. These cover incorporation, formation, qualification, mergers, dissolution, and name reservations for all entity types. Forms are available for download through the LexisNexis® Store. A full listing of forms and contact information for the Virginia State Corporation Commission can be found in the appendix
As with CSC’s other annotated statutory collections, Virginia Laws Governing Business Entities Annotated is available as an eBook and through the LexisNexis Digital Library. Subscribers can highlight text, annotate sections with personal notes, and migrate those notes across updated editions for future reference.
