CSC, in collaboration with legal publisher LexisNexis, has released the inaugural edition of South Dakota Laws Governing Business Entities Annotated to provide legal professionals in the state with the comprehensive resource they need to counsel clients, and complete transactions, and conduct business. This inaugural edition contains up-to-date South Dakota business entity legislation and other valued features to make legal research faster and more efficient.
The book features Title 47—Corporations and Title 48—Partnerships from the South Dakota Statutes, as well as chapters from Title 51A—Banks and Banking dealing with trusts, and Title 55—Fiduciaries and Trusts. There’s also a curated selection of statutes from related titles covering taxation, trademarks, and civil procedure, along with Articles, 1, 8, and 9 from the Uniform Commercial Code. All statutory content is updated through the 2022 General Session of the 97th South Dakota Legislative Assembly. The Table Sections Affected lists changes coming out of the latest session.
The book is fully annotated with the latest case notes from state and federal courts interpreting the law. There’s also an easy-to-reference Fee Schedule showing the Secretary of State’s required filing fees for business services and business trusts.
Readers can also access more than 60 South Dakota forms for incorporation, formation, qualification, mergers, dissolution, and name reservation for all entity types via the LexisNexis® Store download center. A listing of forms and contact information for South Dakota’s Secretary of State is included in the book’s appendix.
South Dakota Laws Governing Business Entities Annotated is available as a softbound book or as an ebook, compatible with dedicated e-reader devices, computers, tablets and smartphones that use e-reader software or applications. It is also available on the LexisNexis® Digital Library.
