Oklahoma Overhauls 60+ Business Entity Laws in 2025 Legislative Session

  • Registered series: If an LLC operating agreement provides for the formation of one or more series, the LLC may now establish a registered series. The registered series may grant a security interest in its interests and assets.
  • Issuance of stock: Lawmakers approved allowing a board of directors to delegate authority to a person or body to issue stock.
  • Division of an LLC: A new provision allows LLCs to divide into multiple LLCs and allocate assets and liabilities among them without effecting a transfer under Delaware law.
  • Professional entities: Foreign professional entities may now qualify to render professional services in Oklahoma by filing the appropriate instrument with the Secretary of State.
