Lawyer Wu Jiaxin has over ten years of practice in the capital markets at a leading PRC law firm, specializing in Chinese Mainland Capital Markets, Hong Kong & Overseas Capital Markets, Investment/M&A & Corporate Governance, Financing, Insolvency & Reorganization, Data-related fields. She has led or participated in core capital market transactions for dozens of enterprises, covering multi-tier capital markets such as A-shares, Hong Kong stocks, and U.S. stocks. With the ability to navigate multiple markets and lead large-scale, complex transactions, she has assisted clients in completing equity and debt fundraising and transactions totaling over CN¥100 billion. I. Representative Achievements: Multi-Market, Cross-Industry Results

A. Domestic and Overseas Listings
Hong Kong Main Board: Served as legal advisor for the IPO of De Ying Holdings International Limited (Stock Code: 2250.HK), assisting in raising approximately HK¥210 million.
NASDAQ: Provided legal services for the listing of Leishen Energy Holding Ltd. (Stock Code: LSE) on the NASDAQ exchange. The project was successfully completed in December 2024, raising US$5.5 million.
NYSE: Provided legal services for the U.S. listing of Luda Technology Group Limited (Stock Code: LUD). The project successfully raised US$10 million in February 2025.
A-Share Market: Provided full legal services for the domestic listings of Liwang Co., Ltd. and other enterprises.
Cross-Industry Experience: Covers intelligent manufacturing, advanced manufacturing, consumer, logistics, services, technology, new energy, finance, and other sectors, accurately addressing the capital market needs of different industries and providing customized legal support for domestic and overseas listings.

B. Investment, M&A, and Restructuring
Cross-Border M&A: Represented Ellassay (603808) in its major asset restructuring and acquisition of French company IRO, involving subsidiaries across nine European and American countries, with a transaction value of €130 million; assisted in the acquisition of 65% equity in Hong Kong Tangli International (approximately CN¥240 million) and provided legal support for the acquisition of assets of Germany's LAURÈL GMBH.
Domestic M&A and Industrial Integration: Provided legal services for the acquisition of 75% equity in Shanghai Baiqiu Network Technology (approximately CN¥277.5 million); provided legal support for CGN Meiya (1811.HK) in multiple acquisitions in the solar, wind, and hydropower sectors within the new energy field.

C. Refinancing and Bond Issuances
Provided legal support for multiple large-scale bond issuances for China CITIC Bank (601998), including perpetual bonds (total CN¥80 billion), special financial bonds for small and micro enterprises (CN¥50 billion), and Tier 2 capital bonds (CN¥40 billion).
Provided legal support for Guangtian Group’s (002482) private share issuance, Ellassay’s (603808) public issuance of convertible bonds, and Baoying Co., Ltd.’s (002047) corporate bond, short-term financing note, and medium-term note issuance projects.

D. Restructuring and Debt Reorganization
Provided legal services for the substantive consolidation and reorganization of Liaoning Huishan Dairy Group (Shenyang) Co., Ltd. and 107 other companies.
Provided legal services for the debt reorganization of Sichuan Chuanwei Group Co., Ltd. and its affiliated companies.

II. Technology Enablement and Industry Contributions
Wu actively promotes the deep integration of legal technology with professional services and industry resources. By building project-specific knowledge bases and optimizing semantic search mechanisms, she has significantly enhanced the efficiency of relevant legal research.Simultaneously, she collaborates with digital service partners serving over 200 business associations in Shenzhen to explore the use of AI tools for batch identification and matching of member companies’ legal needs, and to develop modular, batch-responsive compliance solutions.
