Standard Contractual Clauses – Controller to Controller (English)

1. To the extent that you transfer personal data from the European Economic Area (“EEA”), the United Kingdom (“UK”) or Switzerland to LN located outside of the EEA, UK or Switzerland, which each party acting as a controller, unless the parties may rely on an alternative transfer mechanism or basis under the data protection laws, the parties will be deemed to have entered into the standard contractual clauses approved by the European Commission Implementing Decision (EU) 2021/914 of 4 June 2021 available at http://data.europa.eu/eli/dec_impl/2021/914/oj (“Clauses”) in respect of such transfer, whereby:

  1. you are the “data exporter” and LN is the “data importer”;
  2. Module One applies, Modules Two, Three and Four, the footnotes, Clause 11(a) Option and Clause 17 Option 1 are omitted, the applicable annexes are completed respectively with the information set out in the Agreement;
  3. the “competent supervisory authority” is that in the country where the data exporter is established;
  4. the Clauses are governed by the law of the country where the data exporter is established;
  5. any dispute arising from the Clauses shall be resolved by the courts of the country where the data exporter is established; and
  6. if there is any conflict between the terms of the Agreement and the Clauses, the Clauses will prevail.

2. In relation to transfers of personal data from the UK, the Clauses as implemented under section 1 above will apply subject to the following modifications:

  1. the Clauses are amended as specified by Part 2 of the international data transfer addendum to the European Commission’s standard contractual clauses issued under Section 119A of the UK Data Protection Act 2018, as may be amended or superseded from time to time (“UK Addendum”);
  2. tables 1 to 3 in Part 1 of the UK Addendum are completed respectively with the information set out in the DPA and the Agreement (as applicable); and
  3. table 4 in Part 1 of the UK Addendum is completed by selecting “neither party”.

3. In relation to transfers of personal data from Switzerland, the Clauses as implemented under section 1 above will apply subject to the following modifications:

  1. references to “Regulation (EU) 2016/679” shall be interpreted as references to the Swiss Federal Act on Data Protection Act (“FADPA”);
  2. references to specific Articles of “Regulation (EU) 2016/679” shall be replaced with the equivalent article or section of the FADPA;
  3. references to “EU”, “Union”, “a Member State” and “Member State law” shall be replaced with references to “Switzerland” or “Swiss law”, as applicable;
  4. the term “member state” shall not be interpreted in such a way as to exclude data subjects in Switzerland from the possibility of accessing their rights;
  5. Clause 13(a) and Part C of Annex I are not used and the “competent supervisory authority” is the Swiss Federal Data Protection Information Commissioner;
  6. the Clauses are governed by the law of Switzerland; and
  7. any dispute arising from the Clauses will be resolved by the courts of Switzerland.

Clauses contractuelles types - responsable du traitement à responsable du traitement (Français)

Dans la mesure où vous transférez des données personnelles de l'Espace économique européen (« EEE ») ou de la Suisse à « LN » situé en dehors de l'EEE ou de la Suisse, chaque partie agissant en tant que responsable du traitement, les parties seront réputées avoir conclu les clauses contractuelles types approuvées par la décision 2021/914 de la Commission européenne (CE) du 4 juin 2021 disponible à l'adresse https://eur-lex.europa.eu/eli/dec_impl/2021/914/oj?locale=fr ((« CCT de l’UE 2021 ») en ce qui concerne ce transfert, pour lequel vous êtes l' « exportateur de données » ; « LN » est l’ « importateur de données » ; le module 1 s'applique ; les modules 2, 3 et 4, les notes de bas de page, l’option de la clause 11(a), l’option 1 de la clause 17 ne s’appliquent pas ; l'« autorité de contrôle compétente » est celle du pays où l'exportateur de données est établi, et le contenu des annexes applicables correspond au contenu respectif du « Contrat », à moins que les parties ne puissent se fonder sur un autre mécanisme de transfert ou une autre base en vertu des lois sur la protection des données. Les « CCT de l’UE 2021 » sont régies par le droit du pays où l'exportateur de données est établi. Tout litige découlant des « CCT de l’UE 2021 » sera résolu par les tribunaux du pays où l'exportateur de données est établi. En cas de conflit entre les termes du Contrat et les « CCT de l’UE 2021 », les « CCT de l’UE 2021 » prévaudront.

Soweit Sie personenbezogene Daten aus dem Europäischen Wirtschaftsraum ("EWR") oder der Schweiz an LN mit Sitz außerhalb des EWR oder der Schweiz übermitteln, wird davon ausgegangen, dass die Parteien die durch den Durchführungsbeschluss (EU) 2021/914 der Europäischen Kommission vom 4. Juni 2021 genehmigten Standardvertragsklauseln vereinbart haben, die unter https://eur-lex.europa.eu/eli/dec_impl/2021/914/oj?locale=de ("2021 EU SCCs") abrufbar sind. In Bezug auf solche Übermittlungen sind beide Parteien Verantwortliche für die Verarbeitung. Zudem sind Sie der "Datenexporteur", LN ist der "Datenimporteur" ist. Es gelten die Module 1 bis 4 der Standardvertragsklauseln, die Fußnoten, Klausel 11(a) Option und Klausel 17 Option 1 entfallen. Die "zuständige Aufsichtsbehörde" ist diejenige des Landes, in dem der Datenexporteur niedergelassen ist. Der Inhalt der anwendbaren Anhänge entspricht dem jeweiligen Inhalt des Abkommens, es sei denn, die Parteien können sich auf einen alternativen Übermittlungsmechanismus oder eine andere datenschutzrechtliche Grundlage berufen. Für die 2021 EU SCCs gilt das Recht des Landes, in dem der Datenexporteur niedergelassen ist. Alle Streitigkeiten, die sich aus den 2021 EU SCCs ergeben, werden von den Gerichten des Landes entschieden, in dem der Datenexporteur niedergelassen ist. Bei Widersprüchen zwischen den Bestimmungen des Abkommens und den EU-SSCC 2021 haben die 2021 EU SCCs Vorrang.


Transferência internacional de dados pessoais do Brasil (Português)

Na medida em que você transfira informações pessoais do Brasil para uma subsidiária da LN localizada fora do Brasil, a LN cumprirá os princípios e os direitos do objeto dos dados e o regime de proteção desses dados previsto na Lei Geral de Proteção de Dados Pessoais (LGPD), nº 13.709 de 2018, a menos que as partes possam confiar em um mecanismo ou regulação alternativa de transferência que esteja também em acordo com as leis de proteção de dados.


International Transfer of Personal Data from Brazil (English)

To the extent that you transfer personal information from Brazil to LN located outside Brazil, LN will comply with the principles and the rights of the data subject and the regime of data protection provided under the Brazilian General Data Protection Law, nº 13.709 of 2018 (Lei Geral de Proteção de Dados Pessoais) (LGPD), unless the parties may rely on an alternative transfer mechanism or basis under the data protection laws.
