Shareholder Says Directors, Officers Are Not Protected By Business Judgment Rule

PHILADELPHIA - A shareholder told a Pennsylvania federal court on May 29 that directors' alleged violation of a company's management incentive plan is not protected under the business judgment rule and, therefore, presuit demand upon the company's board is excused (ICLUB Investment Partnership, Derivatively on Behalf of Nominal Defendants Amerisourcebergen Corp., v.
