O'Melveny & Myers LLP announces that Winston Chang, a member of the firm's Tax practice, is admitted to the firm as a new partner, effective February 1, 2009.
Winston Chang resides in the Newport Beach office. He received his B.S. from University of Southern California in 1994. Mr. Chang received his law degree in 2000 from University of California Berkeley School of Law, and was a member of the Order of the Coif. He joined O’Melveny in 2000. Mr. Chang's practice covers a broad range of federal income tax matters, with particular emphasis on corporate acquisitions; partnerships/joint ventures; property and mortgage REITs; real estate taxation; tax-exempt financing; insurance and financial instruments; and general business tax planning.
Mr. Chang has advised clients in connection with the issuance of flavored debt instruments and swaps; and public and private REITs in connection with securities, financing, and restructuring matters; among other transactions. Representative transactions have involved the sale by a publicly-traded energy company of the stock of its indirect subsidiary to a publicly-traded parent for approximately $2 billion; the conversion of a publicly-traded mortgage company into a publicly-traded REIT and its initial public offering; and the creation and implementation of a novel insurance product, designed to permit high net worth individuals to obtain life insurance for reduced overall cost.Prior to joining O’Melveny, Winston was a senior auditor with a Big-Six public accounting firm.
