The advantages of the partnership form are well known: for general forms, the entity does not have to pay income tax, they are relatively easy to set up, there is considerable flexibility in raising additional capital, and they allow for innovative management; and for limited partnerships, there are the added benefits of limited liability for each partner, and the ability of limited partners to share in profits and losses without direct participation in management. But there are also some perennial problems: joint and several liability of the partners; individual partner liability for debts and obligations; complications in transferring interests; squabbles over allocations.
