Missouri business attorneys and their staff at small and large law firms can find the latest updates to the state’s business entity laws and the most recent related case law in CSC’s 2024 edition of Missouri Laws Governing Business Entities Annotated.
The newest edition features the full text of Title 23—Corporations, Associations and Partnerships from the Missouri Statutes, as well as related sections covering taxation, trademarks, securities and arbitration, and Articles, 1, 8, and 9 from the UCC. All statutory content is updated through the 102nd General Assembly Regular Session.
The book is fully annotated with the latest case notes from courts interpreting the law, with more than 20 new case notes added since the 2023 edition. We’ve also included three full-text cases covering recent legal developments concerning service of process, derivative suits, and removal of directors. A Table of New Annotations and gray bars make it easy to quickly identify new decisions added since the previous edition.
An up-to-date Fee Schedule lists the Secretary of State’s required filing fees for various business services. Readers also have online access to more than 60 Missouri forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types via the LexisNexis® Store download center. A listing of forms and contact information for Missouri’s Secretary of State Business Services are provided in the book’s appendix.
As with CSC’s other annotated statutory collections, Missouri Laws Governing Business Entities Annotated is also available as an eBook and is part of the LexisNexis® Digital Library.
