• Agented deals versus bilateral loans
• Due diligence and closing considerations
• How to treat PPP funds in your financing arrangements
Important negotiating and drafting considerations when adjusting your offering to fit the deal size, including:
• What is market for your industry and the acquisition size
• SEC issues
• Representations and warranties
• Insurance and risk management portfolio analysis
• Regulatory issues that vary depending on the deal
• Privacy complications
• Understanding tax implications and how they are influenced by deal size and structure
• How PPP will affect your deal execution, according to deal size
Deal considerations for:
• Cross-border acquisitions and negotiations (incl. CFIUS and foreign investment considerations)
• Setting up (and breaking up) joint ventures
• Carve-outs and business unit divestments
