This course will provide an overview of the law governing shareholder liability for corporate debt in key jurisdictions (customizable on request). It will compare the several common articulations for veil piercing analysis employed by jurisdictions across the country, and discuss a number of variations on the general theme—including reverse veil-piercing, horizontal veil-piercing, the difference in application between contract and tort matters, and more. Finally, it will also provide an introduction to resources that you can employ to identify best practices to protect a corporate client, or to assess a client’s or opposing party’s exposure.
