Securities & Capital Markets
The Securities & Capital Markets module has added five new expertly authored practice notes and three new checklists to the Financial Derivatives topic. This new content provides an overview of the impact of the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 on financial derivatives, including practice notes on cleared and non-cleared swaps, the commercial end-user exception to mandatory clearing requirements, and the regulation of cross-border transactions. In the coming months, we will be adding various practice notes and forms that cover further developments in the federally regulated financial derivatives space. Mergers & Acquisitions
The Lexis Practice Advisor Mergers & Acquisitions module added new content pertaining to double merger transactions including reverse triangular mergers and upstream or sideways mergers. The new practice note outlines the tax benefits of these types of mergers. New content detailing disclosure requirements in public company deals was also added to the module to assist practitioners in minimizing the risk of liability for noncompliance. Guidance about material adverse change and material adverse effect concepts was also expanded.
