During this program, our nationally recognized faculty will dissect LOIs from drafting and litigation perspectives, and will teach you how to improve your LOI work. Topics of discussion include: Determining when a letter of intent makes sense Strategies for negotiating and drafting letters of intent from both buyer and seller perspectives Understanding the differences between a letter of intent and a term sheet Drafting key provisions for your LOI and learning how to reframe or eliminate the provisions you don’t want How case law addresses letters of intent which do not result in a deal Mastering the interplay between NDAs and LOIs, and recognizing when to separate them
